1. Parties & Protected Entities This Report is the collaborative product of MCREC Reports LLC (Methodology), Globe Medical Realty Advisors (Real Estate), and Alpha Sophia Technologies GmbH (Raw Data). All protections, waivers, and limitations of liability extend to each Provider's parent companies, affiliates, officers, directors, licensed brokers, employees, and authorized agents.

2. End-User Only — No Resale, Sharing, or Republication Sold and licensed strictly to the named end-user (the physician/practice whose location is analyzed, an authorized officer/owner of that practice, or a fiduciary advisor expressly retained by it). By purchasing or using this Report, Recipient agrees:

No resale, republication, syndication, sublicensing, or distribution in any form;

No sharing or forwarding to landlords, other brokers, lenders, opposing counsel, investors, vendors, or media without GMRA's prior written consent;

No reproduction, excerpt, paraphrase, or incorporation into any other document, filing, or marketing material;

No extraction of Alpha Sophia data inputs or MCREC outputs independently of the Report;

No use to evaluate, target, recruit, acquire, or compete against any other physician or practice;

No submission as expert testimony, evidence, valuation, appraisal, or formal opinion in any litigation, arbitration, or regulatory proceeding without prior written consent;

Payment method and billing name must match the practice or physician analyzed — MCREC may cancel and refund non-matching orders at its sole discretion;

Breach of these end-user restrictions authorizes Providers to seek injunctive relief, recover the full purchase price plus reasonable attorneys' fees and costs, and pursue all other available remedies.

3. Data Integrity, HIPAA & Inherent Variance All data is sourced from de-identified, aggregated datasets provided by Alpha Sophia Technologies GmbH in raw form only. No PHI is accessed; no Business Associate relationship is created under HIPAA or HITECH. Alpha Sophia is not responsible for analytical transformations, market interpretations, revenue modeling, real estate conclusions, or any derivative output of MCREC or GMRA. Healthcare billing data is subject to industry-inherent reporting lags, CPT/ICD-10 coding variances, and regional payer mix fluctuations. All outputs are directional indicators of market opportunity — not predictive guarantees of income, patient volume, or performance. Data is "AS-IS." Recipient must independently verify all conclusions.

4. Affiliated Business Arrangement Disclosure (AfBA) 4A. GMRA & MCREC: Globe Medical Realty Advisors ("Broker") has a business relationship with MCREC Reports LLC ("Technology Provider"). David Rutson, Managing Member of Broker, owns a majority interest in Technology Provider. A referral may provide Broker a financial or other benefit. You are NOT required to use the Technology Provider to engage the Broker, nor required to use the Broker to receive Reports. Broker pays a fixed internal Report Fee to Technology Provider; certain Reports may be at no direct cost to Broker's active representation clients. Other service providers are available; you are free to shop around.
4B. MCREC & Alpha Sophia: MCREC Reports LLC has a commercial data relationship with Alpha Sophia Technologies GmbH. Alpha Sophia provides de-identified billing data under a data license and receives compensation for that data. Alpha Sophia has NO involvement in, control over, or responsibility for MCREC's analytical methodologies, transformations, modeling, calculations, or conclusions. Use of this Report does not obligate Recipient to contract directly with Alpha Sophia for any services. Alpha Sophia takes no position regarding real estate matters.

5. No Broker-Client Relationship, Fiduciary Duty, or Professional Advice THIS REPORT DOES NOT CREATE A BROKER-CLIENT, AGENCY, OR FIDUCIARY RELATIONSHIP. Licensed real estate representation by GMRA can only be established through a separate written Tenant/Buyer Representation Agreement or Co-Brokerage Agreement compliant with applicable State Real Estate Commission regulations. Until executed, GMRA acts solely as a third-party consultant for the limited purpose of the Report walk-through. This Report does NOT constitute legal, medical, tax, accounting, or investment advice; Recipient is strongly advised to seek independent counsel from licensed attorneys and CPAs before executing any binding agreement.

6. Liability, Arbitration & Proprietary Rights Aggregate liability of all Providers shall not exceed the amount paid by Recipient for this Report. Providers are NOT liable for lost profits, lost revenue, lease obligations, or any indirect, consequential, special, exemplary, or punitive damages. Disputes resolved by binding AAA arbitration in Dallas County, Texas; governed by the laws of the State of Texas; jury trial and class action rights waived.
